• Lex Favios acted as legal counsel to Sunflame Enterprises for a deal pegged at Rs 660 crore. V-Guard Industries (V-Guard) is going to acquire 100% stake in kitchen appliance company Sunflame Enterprises for a deal pegged at Rs 660 crore on a cash-free and debt-free basis. The deal will be funded through a mix of internal accruals and debt. The acquisition is in line with V-Guard’s strategy to become a significant player in the domestic kitchen appliances segment. SEPL has a pan India presence operating under its Sunflame brand.

 

  • Lex Favios acted as legal counsel to Spain’s Stark Future along with BDO Legal Spain for its strategic collaboration with Eicher Motors to jointly develop leisure electric motorcycles.

  • Lex Favios team represents and acts as Legal Counsel to UAE-based Gibraltar Technologies is acquiring  HCL Infotech Ltd, part of the HCL Group for 74.6 million dirhams ( ₹147 crore). As part of the deal, the AI-based digital solutions company will acquire the assets, 800 employees and customer contracts managed by HCL Infotech.

  • Engineering India Limited – Lex Favios is acting as the Legal Advisor in the ongoing proposed acquisition of Projects and Development India Limited by Engineers India Limited, a listed PSU. As a part of its advisory role, we conducted a complete Legal Due Diligence of PDIL and are currently in the process of vetting and negotiating the Transactional Documents.

  • Raising funds for Neurosynaptic Healthsquad Telemedicine – Bengaluru-based health-tech firm Neurosynaptic Communications Pvt. Ltd has raised an undisclosed amount in its Series A round of funding from healthcare-focused investment firm Healthquad, Indian Angel Network, and Infosys co-founders backed Axilor Ventures. Our firm was acting sole counsel for neurosynaptic Healthsquad Telemedicine to raise the undisclosed amount. We assisted in drafting the share Purchase agreement and review other fundraising documents as required.

 

  • Lex Favios acted as a legal counsel to One Point One Solutions Limited with respect to their investment in IT Cube Solutions Private Limited wherein One Point One Solutions Limited purchased all the shares of IT Cube Solutions Private Limited.   • Lex Favios acted as a legal counsel to Niveshan Technologies India Private Limited with respect to their Share Subscription and Shareholder’s Agreement. As a part of the transaction, Bitzero Blockchain Inc invested a total of USD 6.25 Million in two tranches into Niveshan Technologies India Private Limited.

 

  • Lex Favios acted as a legal counsel to Ashvandana Management Holdings Private Limited (JPM) for their new Joint Venture Agreement with C4V. JPM and C4V incorporated a new company in India with an initial authorized share capital of INR 5,00,00,000 consisting of 50,00,000 shares of INR 10 each.
