• Lex Favios acted as the Legal Advisor to Ummeed Housing Finance for its Series D Equity raise by Morgan Stanley and Existing Investor LGT Impact of Rs. 164 Crores. The Firm assisted the company in due diligence, finalization of transaction documents, worked on the pre and post-closing items.

 

  • Lex Favios acted as the Legal Advisor to Ketchum Sampark Private Limited for the secondary sale of the shares to raise INR 11.56 Cr. from Omnicom APIMA Investments Limited. Assisted the Sellers to draft and negotiate the deal with Omnicom APIMA Investments Limited and subsequent RBI filings.

 

  • Acted as Sole Legal Counsel to Reliance Chemotex Limited with respect to its Rights Issue. The Issue Size was 2480.93 Lakhs and ICICI acted as Banker to the Issue. The team was responsible for conducting legal due diligence drafting of Letter of Offer and assisted the Company and the Merchant Bankers with respect to the Transaction.

 

  • Listing of GEOPHYSICAL SUB-STRATA LTD. on the Singapore Exchange – Lex Favios conducted Due Diligence on the Indian Group Entities of the Company, and accordingly vetted the Offering Document filed with the exchange for addition of Risk Factors, and from an Indian Law perspective. Geophysical Sub-Strata Ltd. established U.S.$400,000,000 guaranteed multicurrency medium-term note programme and issuance of us$151,500,000 guaranteed medium-term notes.

 

  • US$ 10,500,000, 1% Foreign Currency Convertible Bonds of Cybermate Infotek Limited – Lex Favios is acting as the Legal Counsel of Cybermate Infotek Limited, a Bombay Stock Exchange-listed Company, for the issue of US$ 10,500,000, 1% Foreign Currency Convertible Bonds due 2022, convertible into shares in the Company and listing on the Luxembourg Stock Exchange. In this regard, Lex Favios has concluded a Legal Due Diligence on all affairs of the Company in the month of April 2018. In addition to the same, Lex Favios is also involved in the drafting of the Offering Circular, amongst other documents, for such listing.

 

  • Raising funds for Neurosynaptic Healthsquad Telemedicine – Bengaluru-based health-tech firm Neurosynaptic Communications Pvt. Ltd has raised an undisclosed amount in its Series A round of funding from healthcare-focused investment firm Healthquad, Indian Angel Network, and Infosys co-founders backed Axilor Ventures. Our firm was acting sole counsel for neurosynaptic Healthsquad Telemedicine in to raise the undisclosed amount. We assisted in drafting the share Purchase agreement and review other fundraising documents as required.

 

  • We have in the past assisted Aidos India Fund Ltd., a Mauritius based fund in obtaining registration with The Securities and Exchange Board of India (“SEBI”) as a Category II Foreign Portfolio Investor under the SEBI (Foreign Portfolio Investors) Regulations, 2014. Further, we assisted in structuring the investment plan of the fund and were involved in drafting the Private Placement Memorandum (PPM) as per the regulations of SEBI and Subscription Agreement.

 

  • We have assisted Elara Multi-Strategy Fund, a Mauritius based fund in obtaining registration with The Securities and Exchange Board of India (“SEBI”) as a sub-account of an FII under the SEBI (Foreign Institutional Investors) Regulations, 1995. Further, we assisted in structuring the investment plan of the fund and were involved in drafting the Private Placement Memorandum (PPM) as per the regulations of SEBI and Subscription Agreement.

 

  • We have assisted “Rudrabhishek Infrastructure Trust – Scheme I” formed as Trust under Indian laws and registered as “infrastructure fund” under SEBI (Alternative Investment Funds) Regulations with respect to its structuring, formation, policies, investments in investee companies and providing legal opinions on a regular basis as and when required by the Investment Manager/Fund as to compliances under Indian regulations.

 

  • Advising “Rudrabhishek Infrastructure Trust – Scheme II”, formed as Trust under Indian laws and registered as “infrastructure fund” under SEBI (Alternative Investment Funds) Regulations with respect to its registration of Scheme II under SEBI (Alternative Investment Funds) Regulations, structuring, formation, policies, legal opinions and investments in investee companies. Drafting of all documents/agreements including private placement memorandum, contribution agreement, SEBI letters, resolutions/notices, investment agreements for the purpose of investments by the Fund in the investee companies and providing legal opinions on a regular basis as and when required by the Investment Manager/Fund as to compliances under Indian regulations and the transaction.
